By using the Studio, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement. If you are using the Studio on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. Description of Service

BASE is a cloud-based studio that enables users to upload, customize, and publish interactive 3D and augmented reality (AR) product experiences. The Service includes, but is not limited to:

  • 3D model hosting, rendering, and management
  • Real-time scene editor and material editor
  • Page designer and deployment tools
  • Augmented reality (AR) viewer capabilities
  • AI-powered 3D generation tools
  • Analytics dashboard and visitor tracking
  • QR code generation for AR experiences
  • API access (where applicable)

4. Account Registration and Security

To access certain features, you must create an account by providing accurate, current, and complete information. You are solely responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms. You may not create multiple accounts, share account credentials, or transfer your account without our prior written consent.

5. Subscription Plans, Billing, and Payments

The Studio offers three plans: Free, Pro and Enterprise. Pro is a monthly subscription priced per model and charged in advance through Polar (Section 5.2). There is no annual billing option.

5.1 Plans and Pricing

The following terms are used in this Section 5:

  • Live model: a 3D model in your library that is not archived. The BASE sample models provided with every account do not count as live models, unless you replace one with your own file using Change Model.
  • New model: each model you add to your library, whether it is an AI generation, an upload of your own .GLB file, or a replacement of a model's file using Change Model. All three count the same. Editing materials, optimizing a model and restoring an archived model do not count as new models.
  • Capacity: on Pro, the number of models you choose to pay for. Your capacity is both your live model limit and your new model allowance for each billing month.
  • Billing month: on Pro, the monthly period that starts on your billing date; on Free, the monthly period that starts on the day of the month on which you signed up.
  • Free: USD 0, no payment method required. Up to 3 live models and 3 new models per billing month. Public 3D viewer pages on the Free plan display a "Powered by BASE" watermark, which cannot be turned off on Free.
  • Pro: USD 0.50 per model per month, with a minimum of USD 20 per month for a capacity of 40 models. You choose your capacity in the Studio, from 40 up to 2,000 models (for example, a capacity of 60 models costs USD 30 per month). Pro includes up to your capacity in live models and in new models each billing month, removes the watermark, and covers your use of the Studio. API access is available on request and uses the same capacity and monthly allowance. The Pro price is a launch price (Section 5.6).
  • Enterprise: custom pricing and allowances for large catalogs and high monthly volumes, agreed individually (Section 5.11). Contact info@basebros.com or use Contact sales in the Studio.

Deleting or archiving a model frees a live spot, but it does not give back a new model already used in the current billing month. Unused new models do not carry over to the next billing month. If your account moves back to Free, the watermark returns automatically.

5.2 Payment Processing - Polar as Merchant of Record, Stripe as Payment Processor

All paid subscriptions, renewals, capacity changes and one-time purchases in the Studio are processed through a two-layer payment stack:

  • Merchant of Record (MoR) - Polar Software, Inc., a Delaware-incorporated company. Registered office: 3500 South DuPont Highway, Dover, Delaware 19901, United States. Principal place of business: 548 Market Street, PMB 61301, San Francisco, California 94104, United States. EU VAT identification number: EU372061545. Contact: support@polar.sh · polar.sh. Polar is the legal seller of record under its Master Services Terms; we act as a supplier/reseller of our digital subscriptions through Polar's reseller arrangement.
  • Underlying Card Processor - Stripe, operated by Stripe, Inc. and its regional affiliates (including Stripe, LLC in the United States and Stripe Payments Europe, Limited in the EEA, as the applicable Stripe entity depends on your country of residence - see Stripe Services Agreement). Stripe provides the PCI-compliant card processing infrastructure that Polar's checkout runs on.

Polar acts as the Merchant of Record (MoR) for every paid transaction in the Studio. This produces the following legal and operational consequences that you should be aware of:

  • Seller of record: Polar is named as the seller on your invoice / receipt and as the descriptor on your bank or card statement (line item typically reads "Polar" or "polar.sh"), not BASE BROS.
  • Tax collection and remittance: Polar collects, files, and remits applicable sales tax, VAT, GST, digital service tax, and other consumption taxes globally, on our behalf (Polar's underlying tax engine is Stripe Tax). The amount of tax collected at checkout is determined by your billing country/region and the rules in force there.
  • Card authorization, fraud screening and chargebacks: Stripe (as Polar's payment processor) is responsible for card authorization, 3-D Secure / PSD2 Strong Customer Authentication (SCA) for cardholders in the European Economic Area and the United Kingdom, fraud screening (Stripe Radar), and chargeback / dispute handling. Polar handles the chargeback workflow on the seller side; we cooperate with Polar where evidence from us is required.
  • Card data handling: Your full payment instrument data - primary account number (PAN), card expiry, CVV, billing address, and where required tax identification - is collected and held directly on Polar's and Stripe's infrastructure. We never see, store or process raw card data; we only receive a non-sensitive transaction reference (Polar customer ID, subscription ID, plan, status, country) sufficient to provision and manage your subscription.
  • Security certifications (Stripe): Stripe is certified to PCI DSS Level 1 (the highest tier defined by the PCI Security Standards Council, attested annually) and produces annual SOC 1 Type II and SOC 2 Type II reports. Stripe enforces PSD2 / SCA for European cardholders and uses TLS for data in transit and AES-class encryption at rest.
  • International data transfers: Polar and Stripe store and process payment data on infrastructure located primarily in the United States. For transfers of personal data originating in the EEA, United Kingdom, or Switzerland, Stripe, LLC participates in the EU-U.S. Data Privacy Framework, the UK Extension, and the Swiss-U.S. Data Privacy Framework (Stripe's certification is listed on the official dataprivacyframework.gov website). Polar relies on EU Standard Contractual Clauses (Commission Decision 2021/914) - together with the UK International Data Transfer Addendum and Swiss supplementary safeguards - for any onward transfer.

By initiating a paid transaction through the Studio, you also enter into a separate purchase agreement with Polar (and indirectly with the applicable Stripe entity for card processing) that is governed by their own terms and privacy notices:

  • Polar - Master Services Terms · Privacy Policy
  • Stripe - Stripe Services Agreement · Privacy Policy · Data Transfers Addendum · Sub-Processors

5.3 Monthly Billing and Capacity Changes

  • Monthly, in advance: Pro is billed monthly and upfront. The price for your chosen capacity is charged when you subscribe, and the subscription renews automatically on the same date each month (your billing date) through Polar, using the payment method on file at Stripe, until you cancel. Polar emails an itemized invoice / receipt for every successful charge; your invoices are also listed in the Studio under Account > Subscription > Invoices & billing.
  • Payment methods: Major credit and debit cards (Visa, Mastercard, American Express, and others supported by the applicable Stripe entity for your country), plus regional alternative methods exposed by Polar checkout where available (e.g. Apple Pay, Google Pay, Link by Stripe). Availability may vary by country and currency.
  • Raising your capacity: You can raise your capacity at any time in the Studio. The prorated difference between your new and your current monthly price, for the time left in the current billing month, is charged immediately to your payment method on file, and the higher capacity applies right away. For the current billing month you also receive extra new models in proportion to the time left; your full new capacity applies from your next billing date. Very small prorated amounts (under USD 0.50) may be added to your next invoice instead of being charged immediately. If the payment does not go through, your capacity does not change.
  • Lowering your capacity: You can lower your capacity at any time, down to the 40-model minimum. The lower capacity and price apply from your next billing date; nothing is charged or refunded for the current billing month. If you have more live models than the new capacity, you choose in the Studio which models stay live, and the others are archived on that date (Section 5.5). Until then you can keep your current capacity, which cancels the scheduled change; raising your capacity also cancels it. To go below 40 models, switch to Free (Section 5.8).
  • Where changes are made: Capacity changes are made only in the Studio. Polar's customer portal can be used to update your payment method, view receipts and cancel, but not to change your capacity.
  • Earlier pricing: A subscription purchased under an earlier fixed-price plan keeps renewing at its existing price until it ends or is switched, and its capacity cannot be changed in the Studio. Contact info@basebros.com to move it to per-model pricing.

5.4 Failed Payments

If a Pro payment fails:

  • New models are paused immediately: until the payment goes through you cannot add new models (AI generation, .GLB upload, Change Model, or new jobs through the API) or change your capacity.
  • Your live models keep working: your live models and their pages stay online, without the watermark, while Polar retries the payment automatically for up to 21 days.
  • Updating your payment method (Account > Subscription > Change payment method, or Update payment in the Studio) retries the payment right away. Once the payment goes through, new models are available again.
  • If the payment is still unpaid at the end of the retry period, your Pro plan ends and your account moves to Free: the watermark returns, you keep up to 3 live models of your choice, and the rest are archived and kept (Section 5.5). You can restore them at any time by going Pro again.

5.5 Archived Models

  • What archiving means: an archived model stays in your library with its page design, settings and analytics, but it does not count as a live model, its public page, live link, embeds and QR codes go offline, and its page cannot be published until the model is restored.
  • When models are archived: you can archive any model yourself. Models are also archived when your plan limit drops below the number of your live models: when a lower capacity applies, when Pro ends (after cancellation, an unpaid payment or a refund), or when we change your plan administratively. In each case you choose in the Studio which models stay live. If you do not choose by the deadline shown in the Studio (15 days), we keep your most recently added models live and archive the rest. While that choice is pending, adding new models is paused until you make it. Archived models cannot be published until they are restored.
  • Retention: archived models are kept indefinitely. We do not delete them automatically; they are removed only if you delete them or your account is deleted or terminated (Section 12).
  • Restoring: you can restore an archived model whenever you have a free live spot, and restoring does not use a new model. When your capacity grows (for example when you go Pro again, raise your capacity, or a failed payment is recovered), models archived by the system are restored automatically up to your capacity; models you archived yourself stay archived until you restore them.
  • Deleting a model, by contrast, is permanent and cannot be undone.

5.6 Launch Price and Price Changes

The current Pro price of USD 0.50 per model per month (minimum USD 20 per month) is a launch price, and we may change our prices in the future. If a price change affects an existing Pro subscription, we will give you at least 30 days' prior notice by email and/or in-Studio notification. The new price applies from your first billing date after the notice period ends; before then you may lower your capacity or cancel if you do not accept the new price. A price change never applies to a billing month you have already paid for.

5.7 Refunds

  • Refund Policy - 30-day money-back guarantee: We offer a 30-day money-back guarantee on all paid subscription plans. If you are not satisfied for any reason, you may request a full refund within 30 days of your initial purchase (or, for renewals, within 30 days of the renewal date). Because Polar is the Merchant of Record, refunds are issued by Polar back to the original payment method via Stripe; the credit will appear on your statement under the same "Polar" / "polar.sh" descriptor as the original charge. To request a refund, contact us at info@basebros.com - we coordinate the refund with Polar on your behalf. You may also pursue a refund directly with Polar in accordance with Polar's own refund window (typically up to 30 days from the most recent renewal for subscriptions, or 10 days for one-off transactions).
  • Effect of a refund on your plan: When the first payment or a renewal payment of a Pro subscription is fully refunded, Pro ends immediately and your account moves to Free: you keep up to 3 live models of your choice, and the rest are archived (Section 5.5).

5.8 Cancellation and Switching to Free

You may cancel Pro (switch to Free) at any time in the Studio (in Plans, or under Account > Subscription > Cancel subscription), through Polar's customer portal, or by contacting info@basebros.com. Cancellation takes effect at the end of the current paid billing month: Pro, including your capacity, continues until then, and no further charges are made. Until that date you can resume Pro, and it keeps renewing as before. When Pro ends, your account moves to Free, with up to 3 live models and the BASE watermark. You choose which models stay live, when you cancel or afterwards; the rest are archived and kept (Section 5.5). Cancellation does not by itself entitle you to a refund of the current period unless the 30-day money-back window in Section 5.7 applies.

5.9 Taxes

Prices are shown in US dollars. Whether tax is added depends on your billing country: in most countries VAT (or GST) is already included in the displayed price, while in the United States, Canada and India sales tax is added at checkout. Polar, as Merchant of Record, calculates, collects and remits these taxes on our behalf and shows the exact amount before you pay. Your Polar receipt is the official tax invoice and can be downloaded from the Polar customer portal.

5.10 Chargebacks and Disputes

  • Chargebacks and disputes: Initiating a chargeback through your bank for a charge that you could have resolved via the refund process above may result in Polar fees (currently up to USD 30 per chargeback) being passed through to us and to your account, and may lead to suspension of the account. Please contact us first so that we can issue a regular refund where appropriate.

5.11 Enterprise and Manually Provisioned Plans

Enterprise plans and other plans that we provision manually may be billed outside of Polar (e.g. by invoice). In that case, Sections 5.2 to 5.4 and 5.6 to 5.10 do not apply to those specific transactions; separate terms agreed in writing govern them. Enterprise plans are not changed or canceled from within the Studio; contact info@basebros.com.

6. User Content and Licenses

Ownership: You retain full ownership of all User Content. Nothing in these Terms transfers any intellectual property rights in User Content from you to us.

License to Us: By uploading or submitting User Content, you grant the Company a limited, worldwide, non-exclusive, royalty-free license to host, store, process, render, display, and transmit your User Content solely for the purposes of providing, maintaining, and improving the Service. This license terminates when you delete your Content or your account, except for copies retained in routine backups.

Published Content: When you publish a page or viewer, the Content on that page becomes publicly accessible via the generated URL. You are solely responsible for the Content you make public.

Representations: You represent and warrant that you have all necessary rights, licenses, and permissions to upload and use all User Content, and that your Content does not infringe or violate the intellectual property rights, privacy rights, or any other rights of any third party.

7. Intellectual Property of the Company

All rights reserved. The Studio, including all Studio Content, software, source code, algorithms, APIs, user interfaces, designs, trademarks, trade names, logos (including the BASE and BASE BROS names and marks), documentation, and all other materials related to the Service, are and shall remain the exclusive property of BASE BROS Bilişim Hizmetleri A.Ş. and/or its licensors. These are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

No right, title, or interest in the Studio or any Studio Content is transferred to you under these Terms. You are granted only a limited, non-exclusive, non-transferable, revocable license to access and use the Studio in accordance with these Terms.

You may not, without the Company's prior express written consent:

  • Copy, modify, adapt, or create derivative works of the Studio or any Studio Content
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Studio
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use the Company's trademarks, logos, or trade names without authorization
  • Frame, mirror, or otherwise incorporate any part of the Studio into any other product or service
  • Resell, sublicense, lease, or redistribute access to the Studio

8. AI-Generated Content and Third-Party AI Providers

The Studio offers AI Services that generate 3D models from text prompts, single reference images, or multiple reference images (multi-view). These features are powered by integrations with independent third-party AI providers, and the actual model generation occurs on those providers' infrastructure rather than our own. You acknowledge and agree that:

8.1 AI Provider Integrations

The Studio integrates with the official APIs of the following third-party AI 3D generation providers:

  • Meshy - operated by Meshy, Inc., a Delaware corporation headquartered in San Francisco, California, United States. Provides the "Meshy 6" and "Meshy 7" model families for text-to-3D, image-to-3D and multi-view-to-3D. Official site: www.meshy.ai.
  • Tripo - operated by VAST AI Research / Tripo3D, the artificial intelligence company behind the Tripo3D service. Provides the "Tripo v3.0" and "Tripo v3.1" model families for text-to-3D, image-to-3D and multi-view-to-3D. Official site: www.tripo3d.ai.
  • Rodin - developed by Deemos Corporation (Hyper3D) and accessed through fal.ai, operated by Features & Labels, Inc., San Francisco, California, United States. The Studio no longer connects to Hyper3D directly. Provides the "Rodin Gen-2", "Rodin Gen-2.5" and "Rodin Gen-2.5 Fast" model families for text-to-3D, image-to-3D and multi-view-to-3D (up to five reference images). Official sites: fal.ai and hyper3d.ai.
  • Hunyuan - operated by Tencent Cloud, the cloud computing business of the Tencent group, through its international service (Singapore region, API endpoint hunyuan.intl.tencentcloudapi.com; not the mainland China endpoint). Provides the "Hunyuan 3D Pro" (model versions 3.0 and 3.1) and "Hunyuan 3D Rapid" engines for text-to-3D, image-to-3D and multi-view-to-3D (up to four reference images, Pro only). Official site: www.tencentcloud.com.
  • TRELLIS - the open-source TRELLIS 2 model developed by Microsoft, hosted and run by fal.ai (Features & Labels, Inc.). Provides single-image-to-3D. Official site: fal.ai.
  • Pixal3D - the open-source Pixal3D model developed by Tencent ARC Lab, hosted and run by fal.ai (Features & Labels, Inc.). Provides single-image-to-3D. Official site: fal.ai.

The list of integrated providers may be expanded, replaced, or discontinued at the Company's sole discretion based on quality, availability, pricing, or compliance considerations.

8.2 Functional Equivalence with Provider Platforms

Because the Studio invokes the official APIs of these providers (directly for Meshy, Tripo and Hunyuan, and through fal.ai's hosted API for Rodin, TRELLIS and Pixal3D), the core generation modes of each engine can also be used through our Studio, including but not limited to: text-to-3D (Meshy, Tripo, Rodin and Hunyuan), single image-to-3D (all six engines), multi-view image-to-3D (up to five reference images, depending on provider), PBR and non-PBR texture options, multiple polycount tiers (low / medium / high), and triangle / quad topology selection where the engine offers it. We expose the providers' underlying capabilities through a unified interface and add project management, a permanent model library, AR publishing, and analytics on top of the raw generation engine.

8.3 Data Transmitted to AI Providers

When you initiate an AI generation, the Studio transmits the following inputs to the selected provider on your behalf: (i) your text prompt, (ii) any reference image(s) you uploaded - transmitted either as a temporary, expiring (≤ 30 minutes) URL or as the image file itself, depending on the selected provider's API, and (iii) the generation parameters you selected (style, polycount, texture, topology). Your account credentials, email, payment information, and other personal account data are not transmitted. Reference images you upload are also stored on our infrastructure under your account so that you and our administrators can review or delete them later.

8.4 Provider Terms and Content Policies Apply (Incorporated by Reference)

Use of AI generation features is also subject to the terms of service, acceptable use policies, content policies, and privacy policies of the respective provider. The terms, content rules and acceptable-use policies of Meshy, Tripo, Tencent Cloud (for Hunyuan) and fal.ai (for Rodin, TRELLIS and Pixal3D, together with the model-specific license terms fal.ai publishes for each model) are incorporated into these Terms by reference and apply with equal force when you use AI features in our Studio. Any input or output that would violate a provider's policy if generated directly on that provider's own platform is equally prohibited on ours. The current versions of these documents are available at:

  • Meshy Terms of Service · Meshy Privacy Policy
  • Tripo Terms of Service · Tripo Privacy Policy
  • fal.ai Terms of Service · fal.ai Privacy Policy (Rodin, TRELLIS, Pixal3D)
  • Tencent Cloud Terms of Service · Tencent Cloud HY 3D Global API Terms · Tencent Cloud Privacy Policy (Hunyuan)

It is your responsibility to review the current version of each provider's policies before submitting inputs to that provider. If you do not agree to a provider's terms, you must not use AI generation features that route to that provider. You can always continue to use the non-AI features of the Studio (manual GLB upload, scene editor, page designer, AR publishing, analytics) without engaging any third-party AI provider.

8.5 Ownership, Uniqueness and User Responsibility

  • AI-generated outputs are User Content produced in response to inputs you supplied; they are attributed to the user who initiated the generation.
  • The Company does not pre-screen, moderate, review, or curate AI inputs or outputs. Generation requests are sent directly to the selected provider's API and the resulting model is returned to your account without human review on our side.
  • You are solely responsible for the prompts, reference images, and other inputs you submit, and for the use you make of any resulting outputs - including verifying that they comply with the policies of the underlying provider, with these Terms, and with all applicable laws in your jurisdiction.
  • You are responsible for obtaining any rights, licenses, or consents required to use the inputs you upload (including, but not limited to, copyrights and the rights of any individual depicted in a reference image).
  • AI-generated outputs are not guaranteed to be unique; similar or identical outputs may be produced for other users of either the Studio or the underlying provider.
  • The Company makes no representation or warranty regarding the accuracy, originality, non-infringement, fitness for purpose, or suitability of AI-generated outputs.
  • Each AI generation counts as a new model under your plan's monthly allowance (Section 5.1) and is also subject to the operational quotas the underlying providers grant to the Company.
  • We reserve the right to modify, update, suspend, or discontinue AI features (or to switch the underlying provider mix) at any time, with or without notice.

8.6 Reporting and Enforcement

If you believe that AI-generated content in the Studio violates these Terms, the policies of the underlying provider, or applicable law, please report it to either support@basebros.com or info@basebros.com. We will review verified reports and may, at our discretion, remove the content, suspend or terminate the responsible account, and notify the underlying AI provider. We may also share information about violations with the relevant provider so that the provider can apply its own enforcement actions on its side.

9. Acceptable Use Policy

You agree not to use the Studio to:

  • Upload, transmit, or distribute content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
  • Infringe upon the intellectual property rights, privacy rights, or other rights of any third party
  • Distribute malware, viruses, worms, trojans, or any other harmful or destructive code
  • Attempt to gain unauthorized access to the Studio, other user accounts, or connected systems
  • Interfere with or disrupt the integrity or performance of the Studio or its infrastructure
  • Use automated means (bots, scrapers, crawlers) to access the Studio without authorization
  • Use the Studio for any illegal, fraudulent, or unauthorized purpose
  • Circumvent any usage limits, quotas, or restrictions imposed by your subscription plan
  • Engage in any activity that could damage, disable, overburden, or impair the Studio

10. Third-Party Services

Each of these third-party services is governed by its own terms of service and privacy policy. The Company does not control and is not responsible for the availability, accuracy, content, security, or practices of any third-party service. Your use of an integrated third-party service through the Studio constitutes acceptance of that service's own terms.

11. Service Availability and Modifications

We strive to maintain high availability and performance of the Studio. However, we do not guarantee uninterrupted, error-free, or secure access to the Service. We may, at our sole discretion:

  • Perform scheduled or emergency maintenance that may temporarily affect availability
  • Modify, update, or enhance any features or functionalities of the Studio
  • Discontinue any part of the Service with reasonable prior notice

12. Termination

By You: You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service ceases immediately.

By Us: We may suspend or terminate your account, without prior notice, if you breach these Terms, engage in fraudulent activity, or if required by law. We may also terminate inactive accounts after 12 months of inactivity with prior notice.

Effect of Termination: Upon termination, we may delete your User Content and account data within 30 days, except where retention is required by applicable law or legitimate business purposes. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 13, 14, 15, and 16.

13. Indemnification

You agree to indemnify, defend, and hold harmless BASE BROS Bilişim Hizmetleri A.Ş., its officers, directors, employees, agents, subsidiaries, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Studio; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of a third party; or (e) your violation of any applicable law or regulation.

14. Disclaimer of Warranties

THE STUDIO IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE STUDIO WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BASE BROS BİLİŞİM HİZMETLERİ A.Ş., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE STUDIO, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE STUDIO SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts and enforcement offices of Istanbul, Republic of Turkey (Istanbul Courts and Istanbul Enforcement Offices).

Notwithstanding the foregoing, we retain the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property rights.

17. Export Controls

You agree to comply with all applicable export and re-export control laws and regulations, including but not limited to applicable sanctions programs. You may not use or access the Studio if you are located in a jurisdiction where such use would violate applicable export control laws.

18. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, network infrastructure failures, strikes, or shortages of materials or energy.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties.

20. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and the Company regarding the use of the Studio. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and the Company with respect to the subject matter hereof.

How we process personal data is explained in our Privacy Policy and, for data subjects in Turkey, in our Turkish KVKK Notice (Kişisel Verilerin Korunması Hakkında Aydınlatma Metni). By accepting these Terms and the Privacy Policy, you confirm that you have read the KVKK Notice.

21. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of the Company. The Company may freely assign or transfer these Terms without restriction. Any attempted assignment in violation of this section shall be null and void.

22. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. The Company's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

23. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email or through an in-Studio notification at least 15 days prior to the effective date of the changes. Your continued use of the Studio after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Studio.
